Evernote terms (Dec 1, 2026 for existing users): Italian affiliate, Brazil arbitration, no password-manager use

· Detected by QuietlyChanged's daily check

Evernote posted Terms of Service dated "Last update: October 1, 2026," replacing the January 1, 2026 version. An Evernote help article updated the same day says that if you signed up before October 1, 2026, the changes take effect on December 1, 2026; for everyone else they are already in force. The help article's main points: your contract transfers to Bending Spoons Operations S.p.A., an Italian company in Milan; legal terms now come in two versions (EEA/UK/Switzerland vs everywhere else, with Evernote Enterprise always on the second); Brazil users no longer contract with Evernote do Brasil or use Brazilian law, and instead get the non-EEA terms "including their governing law and arbitration agreement"; EEA/UK/Switzerland users get Italian law and no arbitration agreement; software license terms are folded into the Terms of Service; Evernote Points are no longer issued. The live Terms also add an AI clause: what you provide to AI features, and the results, are yours, and "We do not use what you provide to, or receive from, those features to train artificial intelligence models or tools." Buried in the conduct rules is a new ban that was not in the January 1, 2026 Terms: "you will not use the Evernote Service to back up your hard drive or to store or archive files" and "you will not use the Evernote Service as a password manager or to store sensitive financial information." The Terms also newly say Evernote "may use human and automated means to screen, monitor, and detect Content" that may be unlawful or violate the Terms. How it compares inside Evernote's own update (checked October 18, 2026 against the help article and live Terms): users in the EEA, UK, and Switzerland get Italian law and no arbitration agreement; Brazil users lose Evernote do Brasil / Brazilian law and instead get the non-EEA package "including their governing law and arbitration agreement." The live non-EEA Terms still include a 30-day arbitration opt-out: email optout@evernote.com within 30 days of first use after the arbitration agreement is introduced or updated (the opt-out section still refers to the February 15, 2024 Arbitration Agreement update). That window matters most for Brazilians who are newly under the arbitration clause on December 1. Coverage check October 18, ~3 PM MT: still no news articles; only Evernote's help page and our write-up.

Who it affects

Anyone with an Evernote account created before Oct 1, 2026 (changes hit Dec 1), new sign-ups already under the new terms, Brazilians who lose Brazilian law and pick up arbitration, and anyone who has been storing passwords or sensitive financial details in notes
